The marketing and event management company of Dundee and Angus Chamber of Commerce’s chief executive is facing striking off action for the second time in two years.
Companies House has served a Section 1000 notice on My Pinkie Promise, of which Alison Henderson is secretary and a director.
It informs the company it will be struck off the register of companies and dissolved in two months unless cause is shown to the contrary.
The firm is more than six months overdue in submitting its accounts for last year, which should have been lodged by December 31, 2015.
It is more than three months overdue with its latest annual returns, with details of directors, company secretary, registered office, share capital and shareholdings.
The returns should have been submitted by March 2, 2016.
My Pinkie Promise was in a similar situation in June last year and was formally dissolved but was later restored to the register after the firm applied to resume operations.
The latest action by the Registrar of Companies has been taken this week.
A Section 1000 notice is only served after Companies House writes to warn the firm that it is in arrears with its accounts and returns.
The letter points out that failure to comply could result in the company being struck off.
A company can be wound up by its own directors if it has stopped trading or, for whatever reason, they do not wish it to continue.
Mrs Henderson and her fellow director, husband James, did not make such a request, however.
My Pinkie Promise operates from an office in Greenmarket in Dundee’s central waterfront.
Alison Henderson founded the company in 2009 after working in the corporate sector for over 20 years.
Her previous posts included a spell as head of events and sponsorship for Alliance Trust in Dundee.
When made chief executive of the chamber of commerce in October 2014, she said she would take a more strategic role within My Pinkie Promise, relinquishing day-to-day operational work to the rest of the team.
Yesterday she said the overdue filings for My Pinkie Promise had been “due to an administrative oversight at the company, and Companies House have been contacted today.”
She continued: “They have confirmed that they will delay further action to allow all outstanding documents to be filed.
“We intend to do that without delay, and bring everything up to date.”
She said My Pinkie Promise is fulfilling a number of projects for the remainder of 2016.
“Due to other time pressures, it remains likely to be quietening down in terms of active business development, in order to allow other interests to be the priority going forward,” she added.
“The current clients and projects will be looked after, while the directors take a view early in 2017, over what happens thereafter.”
